    Duties and responsibilities
      • Manage HR activities onsite and be responsible for the timely delivery of both internal and external strategic projects;

      • Responsible for recruitment and selection and maintain a high-quality process from initial headcount approval, developing a good understanding of requirements to ensure suitable candidates are identified, agents’ management, job offers and employment documentation;

      • Responsible for the employee life-cycle support includes employee on-boarding, employee relations, performance management, compensation & benefits, payroll coordination with vendor, attendance and leave management, HR data analysis and off boarding; Maintain accurate and consistent employee files;

      • Design, draft and implement HR related policies and strategies. Keep relevant parties informed on any significant changes. Stay update on any local legislative changes and ensure internal policies are compliant with local legal requirements and in aligned with Group policies & procedures;

      • Work closely with Global HR team on the coordination and delivery of learning and development initiatives/ programmes, including induction training, the management of our learning content etc.;

      • Any other ad hoc duties assigned by the Company.

    Qualifications
      • Bachelor’s degree in Human Resources management or related discipline;

      • At least 8 years of relevant HR Generalist experience in similar small/ SME organization;

      • Strong knowledge of Employment Acts and related legislation;

      • The ability to interpret and communicate statistical data;

      • Proven ability to deal with diverse groups of people at all levels;

      • Strong professional knowledge and business sense with a can-do attitude, good problem-solving skills, good time management and able to manage multiple priorities;

      • Excellent interpersonal and communication skills, project management skills and precise;

      • Proficiency of Microsoft Office 365 applications, Outlook and HRMS; and

      • Good command of both written and spoken English.

    Duties and responsibilities
      • Ensuring the integrity of of lease and aircraft data, including, lease technical conditions, and technical specifications, utilisation, in the Company’s Asset Management System;

      • Maintenance reserve claim processing as per lease agreements and calculation of lessor contributions;

      • Technical management of the delivery, redelivery and transitioning of aircraft;

      • Attendance and oversight and of aircraft undergoing major maintenance events and storage;

      • Performance of annual and pre-purchase inspections of aircraft, and management of external consultants as required;

      • Review of letter of intent and lease documentation from a technical perspective;

      • Provision of support to other departments in respect of technical and maintenance-related queries;

      • Review of configuration specifications and provision of cost estimates for new aircraft deliveries, redeliveries and transitions;

      • Manage aircraft from a technical perspective throughout their lifecycle;

    Qualifications
      • To be successful in this role, you will need to be degree qualified or have relevant aviation experience;

      • Minimum 5 years’ experience in Aircraft Leasing, Airline, MRO or related consultancy company;

      • Detailed knowledge of the Boeing and Airbus Products both narrow- and wide-body;

      • In depth knowledge of the CFM and IAE engine types would be an advantage;

      • Project management experience is required;

      • Experience with Technical Management Systems for inputting and managing aircraft records;

      • Self-starter, problem solver, ability to work independently and a can-do attitude;

      • Good communications skills and the ability to produce technical reports to a high standard;

      • Collection and review of the monthly utilization reports from the lessees, reporting relevant updates and discrepancies and following up with the lessees accordingly;

      • Updating aircraft usage, maintenance and configuration information and producing reports on a scheduled and as-required basis for internal and external clients;

      • Recording of lease and aircraft data, including lease technical conditions, technical specifications, and aircraft utilisation, into the Company’s Asset Management System;

      • Preparation of aircraft specifications to support the trading and marketing opportunities as required;

      1. Transactional Legal Advice

      a) Provide legal advice for the aircraft trading transactions

      • Review and negotiate legal documentation with investors and external legal counsel, provide support in managing deals, legal documentation and closings.

      • Provide legal advice on new deal structures.

      b) Provide advice on written proposals and other documentation for marketing activities, and ensure compliance with Japanese laws and regulations.

      • Review and advise on proposals written in Japanese.

      • Review and advise on transaction-related materials, including lease summaries, commitment 

      letters and etc.

      • Draft and review legal documentation, including non-disclosure agreements, business partnership agreements written in Japanese and governed by local law.

      c) Work closely with the legal team in Hong Kong to ensure alignment and compliance with the Company’s policies and procedures.

      2. Non-transactional Legal Advice

      • Review matters and agreements required for the operation of Tokyo and satellite offices from a Japanese law perspective, corporate governance and compliance, and provide advice or recommendations to the Legal Department and Human Resources Department on local law and regulatory requirements as well as customary practices, issues, and solutions.

      • Provide legal advice on labour law compliance in Japan.

      • Update the Company on legal and regulatory developments relevant to the Company’s operations in Japan.

      • Updating Process and Procedure and creating new ones, communicating with the responsible organization (Project Management Office)

      3. Type II Financial Instruments Business

      Responsible for application for the Type II Financial Instruments Business license and develop and manage the post-registration work. In addition, it is expected to provide supports for other license registrations related to the financial services in Japan, if necessary.

    Qualifications
      • 4-year university or graduate degree.

      • Experience working in a law firm or as a legal department manager in major enterprises. (Vice President: 

      • more than 8 years, Senior Vice President: more than 10 years)

      • Knowledge of various laws and regulations in Japan.

      • Experience in documentation related to structured finance is preferred.

      • Minimum of 3 years of experience working as a compliance officer in the Type II Financial Instruments 

      • Business / Institutions.

      • Holders of Internal Control Officer or Security Sales Representative qualifications, etc., are preferred.

      • Native Japanese is a must, ability to read and write business level English.

      • Liaise with relevant parties to control aircraft asset risk management situations, clients credit risk assessment and structure transactions to mitigate and optimize execution risk of the transactions;

      • Lead the Risk Management team to conduct internal audit and standard risk assessment procedures to measure, monitor and assess risk at all levels throughout the Clover business (including but not limited to credit risk, asset management risk, operational risk, liabilities risk etc.) and recommend / implement actions to mitigate those risk;

      • Lead the PMO to work with relevant departments to review and update all company policies and procedures regularly to ensure they are in proper manner while continuously to develop and improve the internal control system with concrete suggestions;

      • Travel to meet with airline clients for due diligence to assess their business performance and attend global aviation conferences to deepen understand the industry.

    Qualifications

      • Explore and source financing opportunities in banks especially Japanese banks to cover secured term loan, unsecured term loan, warehouse facility, revolving facility, etc. 

      • Negotiate with financiers over the commercial terms of financing and conduct financial analysis to test the feasibility of loan covenants (e.g. DSCR, lessee concentration limits, country concentration limits) in terms of current business condition

      • Assist the financing transaction process including engagement of external advisors and counsel, corporate credit rating and rating agency presentation to close the transaction by specified timeline

      • Maintain close relationship with banks especially Japanese banks to assess future financing and gather the market intelligence over industry change (e.g. general view over industry, bank practice over LIBOR transition)

      • Support the loan administration and compliance of financing obligations covering LTV and DSCR reporting, compliance certificate, loan payment, rollover, drawdown, disclosure of authorization documents and asset operating reports, etc.

      • Conduct regular research on borrowing markets 

      • Address the periodic demands of KYC and credit review from financiers

      • Review and comment on IRR model of company investment project from financing perspective to ensure an accurate and fair measurement of project return

      • Facilitate company asset sale and ensure the smooth transfer of title by sharing of structure and obligations of relevant financing, proposing fund flows, collecting consents from underlying lenders and working for timely release of securities

      • Regularly report to major Japanese shareholder in respect of the existing loan and company development

      • Support in departmental reporting, both English or Japanese, to company management and shareholder (e.g. maintenance of existing loan, regular reporting of work process, update of financing project status)

    Qualifications
      • Bachelor degree in Finance, Accounting or business related disciplines

      • More than 3-year experience in corporate financing, treasury management or similar functions, preferably from Japanese financial institutions

      • Proficiency in financial analysis such as DCF, NPV, IRR, weighted average life, financials ratio analysis

      • Familiar with financial metrics and various type of financing products

      • Knowledge of Microsoft Office (i.e. Word, Excel, PowerPoint, Outlook etc.), Bloomberg terminal

    Qualifications
      • Qualified to practice law in Hong Kong, UK, US, Australia, Singapore or Ireland.

      • Minimum eight years’ post qualification experience in banking or aircraft leasing and financing work with an international law firm, or an aircraft leasing or trading company.

      • Strong management and organizational skills and be able to work under pressure.

      • Excellent interpersonal, verbal and written communications skills, with a strong command of both written and spoken English and an ability to draft concisely and accurately.

      • Commercially astute, energetic and able to operate independently and lead.
